Terms and Conditions

Welcome to Charterstone Management Group ("Charterstone," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website [www.charterstonemgmt.com], our proprietary CharterScore™ Digital Diagnostic Portal, and any related executive governance and operational consulting services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

1. Description of Services & Scope of Authority

Charterstone Management Group provides premium Governance as a Service (GaaS) to Community Associations (HOAs and Condominiums) in Florida. Our services are strategic and operational in nature and include:

  • The CharterScore™ Diagnostic: A proprietary, data-driven audit of an association’s structural, financial, and legal vulnerabilities (as visualized in image_2.png).

  • Executive Consulting: Developing long-term asset master plans, capital strategies, and budgetary optimization frameworks (as visualized in image_4.png).

  • GaaS Operational Framework: When contractually authorized, Charterstone executes daily administrative friction, manages vetted vendors, and enforces Service Level Agreements (SLAs), operating within defined budgetary constraints.

  • Authorized Operational Threshold: By using our Services, you acknowledge that Charterstone operates under a defined executive authority, often including a $15,000 unilateral spending limit for budgeted operating expenses and emergency repairs. This authority is explicitly defined in your binding Service Agreement (Contract).

2. Eligibility & Board Authority

Our Services are intended strictly for legally constituted Community Association Boards of Directors ("the Board") in Florida. By accessing the CharterScore™ Digital Diagnostic Portal, you represent and warrant that you are a duly elected or appointed Director of your association and possess the legal authority to submit sensitive association data (financials, vendor contracts, insurance details) to a third-party consultancy. If you are using these Services on behalf of an association, you represent that you have the legal capacity to bind that association to these Terms.

3. IMPORTANT Disclaimers & Limitations (Forensic, NOT Legal)

This is the most critical section of these Terms. Charterstone Management Group provides sophisticated operational and compliance consulting. By using our Services, including the CharterScore™ Diagnostic, you explicitly acknowledge and agree to the following:

  • NO LEGAL ADVICE: The analysis, metrics, and recommendations provided by the CharterScore™ Diagnostic or any Charterstone personnel are based on our professional operational experience and statutory knowledge. They DO NOT constitute legal advice. Charterstone is not a law firm. You must consult with your association’s authorized legal counsel before executing any significant legal, structural, or financial change based on our consulting (reference FS 718/720 legal exemptions).

  • NO FINANCIAL GUARANTEE: The financial visualizations, budget projections, and reserve fund strategies provided (like those in image_4.png) are based on data provided by the Board and are intended for planning purposes only. We do not guarantee specific financial returns, reserve elimination, or special assessment prevention.

  • AUDIT LIMITATIONS: The CharterScore™ Diagnostic is only as accurate as the data you submit. Charterstone forensicly assesses the structure of your data; we do not verify its validity. We are not responsible for any Critical (<70), Stable (70-89), or Elite (90-100) score resulting from inaccurate or omitted financial or operational data (ref image_6.png diagnostic categories).

4. Intellectual Property & License to Use

The Services, including the website layout, the CharterScore™ Digital Diagnostic Portal, the proprietary scoring algorithm, the "Managed Oasis" lifestyle imagery (ref image_0.png, image_8.png), the executive pitch scripts, and the 2-page tailored PDF deliverables are the exclusive intellectual property of Charterstone Management Group ("CMG Intellectual Property"), protected by copyright, trademark, and trade secret laws (CMG trademark symbols ref image_0.png monument sign). CMG Intellectual Property is visualized and executed with the same intensity and precision as enterprise software (ref image_2.png data visualizations, image_6.png modular box details).

  • Limited License: Upon Service activation or contractual engagement, Charterstone grants the Board a limited, non-exclusive, non-transferable, revocable license to use and present the CMG Intellectual Property (e.g., the CharterScore™ PDF, your customized digital portal access) strictly to other Board Members and your association’s legal counsel for governance purposes.

  • Restrictions: You may not copy, reverse-engineer, modify, distribute, sell, or lease any part of our Services or CMG Intellectual Property, including the scoring methodology or diagnostic questions, without explicit, written permission. Any unauthorized use will result in immediate termination of Services and legal action.

5. Accounts & Data Submission (The "Diagnostic Trap")

To access the CharterScore™ Digital Diagnostic Portal, you must create an executive account ("the Account"). By using the Account, you agree to:

  • Data Accuracy: Provide current, complete, and accurate information when submitting the 40 forensic diagnostic questions (ref image_2.png data submission). Inaccurate data will render your resulting CharterScore™ Risk Metric invalid.

  • Account Security: Maintain the confidentiality of your login credentials. You are responsible for all activities that occur under your Account, including any data submitted or actions taken.

  • Confidential Data: Do not submit association data (bank account numbers, PII, pending litigation strategies) that is classified as privileged legal or sensitive financial data beyond the specific metrics requested by the diagnostic. Charterstone is not liable for the exposure of data submitted beyond the diagnostic’s scope.

6. Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES AND CMG INTELLECTUAL PROPERTY ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CHARTERSTONE DOES NOT WARRANT THAT (I) THE SERVICES WILL MEET YOUR BOARD'S SPECIFIC REQUIREMENTS; (II) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; OR (III) THE CHARTERSCORE™ DIAGNOSTIC WILL CAPTURE EVERY SINGLE OPERATIONAL OR FINANCIAL DECAY WITHIN YOUR ASSOCIATION.

7. Termination

Charterstone reserves the right to terminate or suspend your access to the Services, including the Digital Diagnostic Portal, immediately, without prior notice or liability, for any reason whatsoever, including a breach of these Terms. Upon termination, your limited license to use the CMG Intellectual Property will cease. This termination will not negate any active operational service contract, which is subject to its own termination clauses.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Polk County, Florida.
